Introduction

The Canadian Bar Insurance Association (CBIA) sponsors the Outside Directors Liability (ODL) Program for lawyers and notaries across Canada. This insurance provides excess insurance coverage for lawyers who sit as Directors on Boards outside of their partnership or employment association. This insurance can provide valuable protection in many situations when the lawyer sitting as an Outside Director is not totally indemnified by the corporation and/or other insurance is not available to indemnify Directors.

The CBIA’s ODL program has been in existence since September 1989. It currently insures over 7000 lawyers across Canada. The ODL program is managed by Dion, Durrell + Associates, Inc.

To learn more about the risks involved when acting on a Board of Directors, please read “To Sit or Not to Sit”, an article originally published in the National magazine in October 2001. For greater detail on why you may require ODL insurance, you may also want to read the handbook “A Lawyer's Roadmap”. If you choose to read the handbook, you may also wish to review the sample “ODL Policy” and “ODL Application” documentation.
